These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Buyer," "you," or "your") and USA Made Peps ("Company," "we," "us," or "our"), a registered U.S. business operating at www.usamadepeps.com (the "Site").

By accessing the Site, creating an account, or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Returns & Replacement Policy, all of which are incorporated herein by reference.

We reserve the right to modify these Terms at any time. Updated Terms will be posted with a revised effective date. Your continued use of the Site after any modification constitutes acceptance of the updated Terms.

ALL PRODUCTS SOLD BY USA MADE PEPS ARE DESIGNATED RESEARCH USE ONLY (RUO). PURCHASE IS RESTRICTED TO QUALIFIED RESEARCHERS AND RESEARCH PROFESSIONALS ONLY. BY COMPLETING A PURCHASE, YOU REPRESENT AND WARRANT THAT YOU MEET ALL ELIGIBILITY REQUIREMENTS STATED IN THIS SECTION.

To purchase from USA Made Peps, you must meet ALL of the following criteria:

• You are at least 21 years of age

• You are a qualified researcher, research scientist, laboratory professional, academic researcher, or purchasing on behalf of a legitimate research institution or entity

• You have the legal authority to purchase, possess, and use research chemicals in your jurisdiction

• You are not purchasing products for personal use, human consumption, veterinary use, or any non-research purpose

• You understand and accept the Research Use Only designation and all restrictions that accompany it

• You are not located in a jurisdiction where the purchase or possession of these products is prohibited

By completing a purchase, you represent and warrant that:

• All information provided during checkout, including research affiliation and intended use, is accurate and truthful

• You will use purchased products solely for lawful in vitro laboratory research purposes

• You have the knowledge, training, and facilities appropriate for safe handling of research-grade chemical compounds

• You will not resell, redistribute, transfer, or make purchased products available to any person who does not meet the eligibility requirements stated herein

• You will comply with all applicable federal, state, and local laws and regulations governing the purchase, possession, handling, storage, and disposal of research chemicals

USA Made Peps reserves the right to refuse, cancel, or hold any order at our sole discretion, including but not limited to orders where: the intended use is unclear or suspected to be non-research; the shipping address does not correspond to a research-related entity; order volume is inconsistent with research use; or prior violations of these Terms have occurred.

All products sold by USA Made Peps are classified as Research Use Only (RUO). This classification means:

• Products are intended exclusively for in vitro laboratory research and scientific investigation

• Products are NOT intended for, and must not be used for, human or veterinary consumption, administration, or therapeutic application

• Products have NOT been evaluated or approved by the U.S. Food and Drug Administration (FDA) for safety or efficacy in humans or animals

• Products are NOT drugs, dietary supplements, foods, cosmetics, or medical devices as defined under applicable federal law

• Products are NOT manufactured under the same regulatory protocols as FDA-approved pharmaceutical products

By purchasing, you acknowledge and agree that:

• You have read and understood the RUO designation and accept full responsibility for ensuring products are used in compliance with this designation

• Any misuse of RUO products — including but not limited to human or animal administration — is strictly prohibited and may carry serious legal consequences

• USA Made Peps maintains records of purchaser-stated research affiliations and intended uses for compliance purposes

• USA Made Peps reserves the right to cancel any order if misuse is suspected or confirmed

USA Made Peps products are assembled, purified, lyophilized, bottled, and third-party tested in Missouri, USA. Active pharmaceutical ingredients (APIs) are sourced from vetted international suppliers and processed domestically.

All products are certified to a minimum purity of 98% by independent third-party laboratory testing using HPLC and/or mass spectrometry analysis prior to sale. A Certificate of Analysis (COA) is available for every product and every batch.

Product descriptions, specifications, and COAs are provided for research reference purposes only and do not constitute claims of suitability for any particular research application. Buyer assumes full responsibility for assessing whether any product is appropriate for their intended research use.

We reserve the right to modify, discontinue, or substitute products at any time without notice, subject to fulfilling any orders already placed.

Submission of an order constitutes an offer to purchase. All orders are subject to acceptance by USA Made Peps. We reserve the right to decline any order for any reason, including eligibility concerns, suspected misuse, pricing errors, or product unavailability. Order confirmation does not guarantee fulfillment until payment is processed and the order is released for shipment.

All prices are listed in U.S. dollars and are subject to change without notice. Prices at the time of order submission apply to that order. We are not responsible for typographical pricing errors and reserve the right to cancel orders placed at an incorrect price, with full refund of any payment collected.

Payment is processed via ACH (Automated Clearing House) electronic transfer through our third-party payment processor. By providing payment information, you authorize us and our payment processor to initiate ACH debits from your designated bank account for the amount of your order.

All sales are final. We do not issue cash refunds or store credit. The sole remedy for a verified product quality failure is replacement as described in our Returns & Replacement Policy, incorporated herein by reference.

Sales tax will be applied to orders where required by applicable state law. You are responsible for any taxes, duties, or fees applicable to your purchase under the laws of your jurisdiction.

USA Made Peps ships to U.S. domestic addresses only unless otherwise explicitly stated. Shipping times are estimates and are not guaranteed. We are not responsible for delays caused by carriers, weather, customs, or other circumstances outside our control.

Risk of loss and title for products passes to you upon delivery to the carrier. If a shipment is lost or damaged in transit, please contact us promptly and we will work with the carrier to investigate. We are not liable for carrier errors, delays, or losses beyond our reasonable control.

You are responsible for ensuring the shipping address provided is accurate and accessible. We are not responsible for failed deliveries due to incorrect address information provided at checkout.

You are solely responsible for compliance with all laws and regulations governing the importation, possession, and use of research chemicals at your delivery address and in your jurisdiction.

You agree that you will NOT use this Site or any products purchased from USA Made Peps for any of the following purposes:

• Human or animal consumption, administration, or therapeutic application of any kind

• Resale, redistribution, or transfer of products to any person who does not meet the buyer eligibility requirements stated in Section 2

• Any use that violates applicable federal, state, or local law or regulation

• Any fraudulent, deceptive, or misrepresentative purpose, including falsifying research affiliation or intended use

• Reverse engineering, repackaging, or relabeling products for resale as pharmaceutical, supplement, or consumer products

• Any use in human clinical trials, compounding for human use, or therapeutic protocols without appropriate regulatory approval

• Scraping, harvesting, or unauthorized data collection from the Site

• Introducing malware, viruses, or harmful code into the Site or its infrastructure

• Any activity that could damage, disable, or impair the Site or interfere with other users' access

Violation of any prohibited use may result in immediate account termination, cancellation of pending orders, and reporting to relevant law enforcement or regulatory authorities.

All content on this Site — including but not limited to text, graphics, logos, product names, product descriptions, images, the USA Made Peps name and brand, and the "Research Done Right" tagline — is the intellectual property of USA Made Peps and is protected by applicable U.S. copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, display, transmit, or use any content from this Site for commercial purposes without our prior written consent. Limited personal, non-commercial use for research reference purposes is permitted provided attribution is maintained.

Unauthorized use of our trademarks, brand name, or product names is strictly prohibited.

ALL PRODUCTS AND SITE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. USA MADE PEPS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR RESEARCH PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT PRODUCTS WILL MEET YOUR SPECIFIC RESEARCH REQUIREMENTS OR THAT RESULTS OBTAINED FROM THEIR USE WILL BE ACCURATE OR RELIABLE.

Our quality guarantee (minimum 98% purity as verified by COA) represents the full extent of our product warranty. Any implied warranty beyond the purity certification is expressly disclaimed.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, USA MADE PEPS, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THIS SITE OR ANY PRODUCTS PURCHASED FROM US, INCLUDING BUT NOT LIMITED TO DAMAGES FOR PERSONAL INJURY, PROPERTY DAMAGE, LOST PROFITS, LOSS OF DATA, OR ANY OTHER LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability to you for any claim arising out of or related to these Terms or your use of the Site or our products shall not exceed the total amount paid by you for the specific product(s) giving rise to the claim in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless USA Made Peps, its owners, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use or misuse of this Site or any products purchased from USA Made Peps

• Your violation of these Terms or any applicable law or regulation

• Your violation of the RUO designation or any prohibited use described in Section 7

• Any false or misleading representations made by you regarding your research affiliation, eligibility, or intended use

• Any claim by a third party arising from your possession, use, or distribution of products purchased from USA Made Peps

This indemnification obligation survives termination of these Terms and your use of the Site.

Your use of this Site is also governed by our Privacy Policy, available at www.usamadepeps.com/privacy-policy, which is incorporated into these Terms by reference. By using the Site, you consent to the data practices described in our Privacy Policy.

All sales are final. Returns and replacements are governed exclusively by our Returns, Replacements & Third-Party Testing Policy, available at www.usamadepeps.com/returns-policy, which is incorporated into these Terms by reference. No cash refunds are issued under any circumstances.

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States of America, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms, the Site, or any products purchased from USA Made Peps shall first be submitted to informal negotiation. If the dispute cannot be resolved informally within thirty (30) days, it shall be resolved by binding arbitration administered in Massachusetts in accordance with the applicable rules of the American Arbitration Association (AAA).

You agree that any arbitration shall be conducted on an individual basis and not as a class action, consolidated action, or representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration against USA Made Peps.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction in Massachusetts to prevent irreparable harm.

For any matters not subject to arbitration, you consent to exclusive jurisdiction and venue in the state and federal courts located in the Commonwealth of Massachusetts.

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.

Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision or any other provision in the future.

These Terms, together with our Privacy Policy and Returns & Replacement Policy, constitute the entire agreement between you and USA Made Peps with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, representations, and understandings, whether written or oral.
